Terms of service

Welcome to Ephesus LLC d/b/a Family Plate ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at familyplate.com, our mobile applications, and all related services including our meal subscription and delivery services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1.1 Eligibility

You must be at least 18 years of age and reside within our delivery service areas in the United States to use our Services. By using the Services, you represent that you meet these requirements and can form a legally binding contract.

1.2 Account Registration

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account at support@familyplate.com.

1.3 Subscription Plans & Ordering

Family Plate offers subscription-based meal delivery plans. By subscribing, you authorize us to charge your designated payment method on a recurring basis according to the plan you select (weekly or monthly). Subscription details, including pricing, number of meals, and delivery frequency, are described on our website at the time of purchase.

Plan Modifications: You may modify, skip, pause, or cancel your subscription at any time through your account settings, subject to the applicable cutoff time displayed in your account. Changes made after the cutoff time will take effect for the following delivery cycle.

Pricing: All prices are listed in U.S. Dollars and are subject to change. We will provide at least seven (7) days advance notice of any price changes to active subscribers. Your continued use of the Services after such notice constitutes acceptance of the new pricing.

Taxes: All applicable taxes, including New Jersey Sales Tax (currently 6.625% on prepared food), will be calculated and displayed at checkout. Tax rates may vary based on your delivery location and applicable law.

1.4 Payment Terms

We accept payment via major credit cards, debit cards, Apple Pay, and Google Pay, processed securely through Stripe. By providing your payment information, you authorize Family Plate to charge your payment method for all fees associated with your subscription, including meal charges, delivery fees (if applicable), applicable taxes, and the one-time refundable container deposit.

If a payment fails, we will attempt to process the charge up to three (3) additional times. If payment cannot be processed, your subscription may be paused or cancelled. You are responsible for ensuring your payment information is current and valid.

1.5 Delivery

We deliver meals within our designated service zones, currently beginning with Wayne, New Jersey and surrounding areas. Delivery availability is validated by ZIP code or address during checkout. We will make reasonable efforts to deliver your meals during the selected delivery window; however, delivery times are estimates and not guarantees.

First Delivery: Your first delivery is free of charge. Subsequent delivery fees, if any, will be displayed at checkout.

Missed Deliveries: If you are not available to receive your delivery, our driver will leave the package at your door unless you have provided alternative instructions. Family Plate is not responsible for meals left unattended after delivery.

Service Area: If your address is outside our current delivery zones, you may sign up for our waitlist to be notified when service becomes available in your area.

1.6 Reusable Container Deposit & Return

Family Plate delivers meals in reusable, microwave-safe and oven-safe ceramic-style containers. A one-time refundable deposit of $20.00 is charged with your first order. Full details of the container deposit program are provided in the separate Container Deposit Agreement included in this document.

1.7 Food Safety & Allergen Disclaimer

OUR MEALS ARE PREPARED IN KITCHENS THAT HANDLE COMMON ALLERGENS INCLUDING BUT NOT LIMITED TO: WHEAT, EGGS, DAIRY, SOY, TREE NUTS, PEANUTS, FISH, SHELLFISH, AND SESAME. CROSS-CONTAMINATION MAY OCCUR. IF YOU HAVE FOOD ALLERGIES OR SENSITIVITIES, PLEASE REVIEW INDIVIDUAL MEAL DESCRIPTIONS AND INGREDIENT LISTS CAREFULLY BEFORE ORDERING.

Family Plate meals are not intended to diagnose, treat, cure, or prevent any disease. Our meals are not medically supervised. If you have medical conditions, dietary restrictions, or food allergies, consult your healthcare provider before using our Services.

All meals should be consumed by the date indicated on the container label. Please follow the heating and storage instructions provided. Family Plate is not responsible for illness or adverse reactions resulting from failure to follow provided instructions, consumption after the expiration date, or undisclosed allergies.

1.8 Intellectual Property

All content on the Family Plate website and applications, including but not limited to text, graphics, logos, images, recipes, software, and the compilation thereof, is the property of Family Plate or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

1.9 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FAMILY PLATE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total aggregate liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the total amount paid by you to Family Plate during the six (6) months immediately preceding the event giving rise to the claim.

1.10 Indemnification

You agree to indemnify, defend, and hold harmless Family Plate, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another party.

1.11 Dispute Resolution

Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. Arbitration shall take place in the State of New Jersey. You agree to waive any right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

1.12 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.

1.13 Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and/or by sending you an email. Your continued use of the Services after such notification constitutes your acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

1.14 Termination

We may terminate or suspend your account and access to the Services at our sole discretion, without prior notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Services will immediately cease. Any refundable container deposits will be processed in accordance with the Container Deposit Agreement.
